1. About us
1.1 Trivas Media is a business based in the United Kingdom. In these terms, "we", "us" and "our" mean Trivas Media.
1.2 You can contact us at hello@trivas.media.
2. How these terms apply
2.1 These terms apply to every client and to all the services we provide for a fee, including our monthly search plans, the Search Blueprint, SEO and AI search consultancy, content and copywriting, digital PR and news release distribution, website design and build, website migrations, website maintenance and other one-off projects.
2.2 They do not apply to work we do under an affiliate network's agreement, which is governed by that agreement.
2.3 Our contract with you is made when you accept our proposal or quote in writing, including by email, when you pay our deposit or first invoice, or when you complete an online checkout for one of our services, whichever happens first. By doing so you accept these terms.
2.4 The contract consists of the proposal or quote and these terms. If they conflict, the proposal or quote takes priority. Your own terms of purchase do not apply unless we agree to them in writing.
2.5 Our services are for businesses, charities and other organisations, not consumers. By buying from us, including through our online checkout, you confirm that you are acting for your business or organisation and that you have authority to agree to these terms on its behalf.
3. Scope and changes
3.1 We will provide the services and deliverables described in the proposal or quote, with reasonable skill and care.
3.2 Each proposal states the number of revision rounds included. If none is stated, two rounds apply. Further rounds, or work outside the agreed scope, will be quoted before we start. For search plans, section 19 sets out what is included.
3.3 Any change to scope, price or dates must be agreed in writing, including by email.
3.4 Dates in a proposal depend on you providing information, access, feedback and approvals on time. If these are delayed, our dates move accordingly.
4. Your responsibilities
4.1 You will give us accurate information, the access we reasonably need, and feedback within five working days of each request.
4.2 You are responsible for checking that final content is factually correct and suitable for your organisation, including any legal or regulatory requirements in your sector, before you approve it.
4.3 Approval of a stage or deliverable, by email or otherwise, confirms it is complete and accurate as far as you're concerned.
4.4 Unless the proposal or your plan says we will implement the work, implementation is your responsibility or your web provider's. We are not responsible for changes made by others after handover.
4.5 Where we need access to your website, analytics, Search Console, Google Business Profile or other accounts, please give it by inviting us as a user where the platform allows, rather than sharing passwords. You can remove our access at any time, but doing so may stop us delivering parts of your plan.
4.6 If your sector is regulated, for example legal, financial, health or medical services, you are responsible for any compliance review your regulator requires, and for approving content on that basis before it is published.
5. Fees and payment
5.1 Our fees are set out in the proposal, the quote or our pricing page, in pounds sterling or US dollars. We are not currently registered for VAT. If we register, VAT will be added where it applies, as clause 19.6 explains for search plans.
5.2 Unless the proposal says otherwise:
- consultancy, copywriting and website projects are invoiced as a 40% deposit when the contract is made and the balance on delivery of the final deliverables, whether or not you have published them yet
- paid PR is invoiced in full and paid before distribution
- search plans are paid in advance, monthly or annually, as set out in section 19
- maintenance plans are invoiced monthly in advance
5.3 Invoices are payable within 14 days. Payment is by bank transfer, or by card where the invoice offers it. Payments through our online checkout are taken by Stripe, and recurring payments are charged automatically to the same payment method on each renewal date until the plan ends.
5.4 We will only charge expenses that you have agreed in advance.
6. Late payment
6.1 If an invoice is not paid on time, we may charge interest and fixed compensation under the Late Payment of Commercial Debts (Interest) Act 1998.
6.2 We may also pause work, including distribution, until overdue invoices are paid, and dates will move accordingly.
6.3 If a recurring payment fails, we will tell you and Stripe will try again. If it is still unpaid 14 days after it was due, we may pause your plan until it is paid. The minimum term and any notice period continue to apply.
6.4 If you dispute a card payment for work we have delivered, we may pause the services while the dispute is resolved.
7. Paid PR
7.1 Paid PR means content we distribute for a fee on your behalf, whether you supply the copy or we write it. Writing is charged separately, at the rate set out in your quote or our rate card. News releases included in a search plan are covered by this section, and their writing and distribution are included in the plan fee.
7.2 We may edit copy you supply so it meets our editorial standards and the rules of our distribution partners. We will send you the final version to approve before distribution, and we will not distribute without your approval.
7.3 You confirm that content you supply or approve is accurate, that any claims in it can be substantiated, and that you have the right to use any names, trademarks, images and quotes it contains.
7.4 Distribution partners set their own rules and may decline or remove content, including content about cryptocurrency, trading, unregulated financial products and other restricted subjects. If a partner declines your content before distribution, we will work with you to revise it, or refund the distribution part of the fee if it cannot go out.
7.5 We publish to the network described in your package. We do not guarantee publication on any particular outlet, a particular number of views, search rankings, inclusion in AI answers, or sales.
7.6 Once distributed, articles are republished by independent sites that we do not control. We cannot edit, update or withdraw them after distribution, so please check dates, prices and offers carefully before approving.
7.7 Links go to the destination you choose, and you may add tracking parameters to them. Links in distributed releases are usually marked as nofollow or sponsored by the publishing sites.
7.8 Content is labelled or disclosed as promotional where the law or our partners require it.
8. Website design, build and maintenance
8.1 This clause applies where we build, rebuild or maintain a website for you.
8.2 Your domain name, hosting and third-party accounts should be held in your organisation's name. Where we set up an account for you, we will transfer it to you at handover.
8.3 After launch, we will fix faults in our own work that you report within 30 days, at no extra charge. Ongoing maintenance, updates, hosting management and support are only included if you have a maintenance plan with us.
8.4 A maintenance plan covers the tasks listed in it, for as long as the plan runs. Anything else is quoted separately.
8.5 Unless your maintenance plan covers it, you are responsible after handover for keeping the site's software up to date, for keeping backups, and for the security of the passwords and accounts used to run the site, including who has access to them.
8.6 No website can be made completely secure. We take reasonable care to build and maintain sites securely, but we are not responsible for hacking, malware, cyber attacks, data breaches or loss of data caused by others, or by weaknesses in hosting, platforms, plugins or other third-party services, unless our own failure to take reasonable care caused it.
8.7 If we become aware of a security problem affecting a site we built or maintain, we will tell you without undue delay and help you respond. Repairing a site after an attack is quoted separately, unless your maintenance plan covers it.
8.8 We are not responsible for faults caused by hosting providers, third-party software or plugins, or by changes others make to the site after handover.
9. Results
9.1 Search rankings, inclusion in AI answers, website traffic, enquiries and sales depend on factors outside our control, including decisions made by Google and other platforms. We do not guarantee any particular result.
9.2 AI tools such as ChatGPT, Gemini, Perplexity, Claude and Google's AI features change what they show, and how, without notice. AI visibility tracking reports the answers these tools gave when we checked. Answers vary with wording, location and time, so they are indicators, not exact measurements.
9.3 Results we quote from past work describe that work. They are not a promise of what your project will achieve.
9.4 We do not buy links or use link networks, and we work within the published guidelines of Google and other search engines. We are not responsible for the effect of anything you or others have done to your site or its links before or outside our work.
10. Intellectual property
10.1 Once you have paid in full, you own the final deliverables we create for you, such as copy, page designs and reports, and we assign to you any rights we hold in them.
10.2 We keep ownership of our own methods, templates, checklists, tools, code and know-how, including anything we created before or outside your project. Where any of these form part of a deliverable, you have a permanent, free licence to use them as part of it.
10.3 Third-party materials, such as fonts, stock images, plugins and software, remain subject to their own licences.
10.4 Until you have paid in full, you may use deliverables only to review them.
10.5 For search plans, the pages, content and other deliverables produced in a month become yours once that month has been paid for. Accounts for the tools we use to deliver the service, such as rank tracking and AI visibility tools, stay ours. When your plan ends, we will send you your latest reports and the data we hold about your rankings and visibility if you ask within 30 days.
11. Portfolio and testimonials
11.1 We may name your organisation as a client and describe the work we did for you in our marketing, including in case studies, without asking for further permission.
11.2 We may also publish any testimonial, review or feedback you give us about our work, with the name, organisation and role of the person who gave it, without asking for further permission.
11.3 We will not publish your confidential information. If you would rather we did not name your organisation, tell us in writing and we will describe the work without identifying you.
12. AI and technology
12.1 We use AI tools, including large language models, to help us research, analyse data, draft and check our work. A person directs every piece of work, and reviews, edits and approves every deliverable before it reaches you.
12.2 Information you give us, such as documents, website content and analytics data, may be processed by these tools so we can deliver the services. We use them with settings that stop the provider using our content to train its models.
12.3 We check AI-assisted work for accuracy and originality, and we will not knowingly deliver content that copies or infringes the rights of others. Your own check under clause 4.2 still applies.
12.4 Please do not send us personal data we have not asked for, or sensitive information such as health details. Where we need personal data to do the work, clause 14 applies.
13. Confidentiality
13.1 Each of us will keep the other's confidential information private and use it only for the project. This includes business data, analytics, pricing and unpublished plans.
13.2 This does not apply to information that is already public, that the other party already had or received lawfully from someone else, or that must be disclosed by law.
13.3 These obligations continue after the project ends.
14. Data protection
14.1 Each of us will comply with UK data protection law, including the UK GDPR and the Data Protection Act 2018.
14.2 Where we handle personal data on your behalf, for example in analytics, enquiry records, form submissions on a website we maintain, or contact details in your content, you are the controller and we are your processor. In that case we will:
- process it only to deliver the services, on the instructions in our contract and your written requests
- make sure anyone who handles it is bound by confidentiality
- keep it secure with appropriate technical and organisational measures
- use only the service providers listed in our privacy notice, tell you before we add a new one, and consider any objection you raise
- help you respond to requests from individuals and meet your own obligations
- tell you without undue delay if we become aware of a breach affecting your data
- delete or return it when the project ends, unless the law requires us to keep it
- give you the information you reasonably need to show that these obligations are met
14.3 Some of our service providers process data outside the UK. Where they do, we rely on the safeguards UK data protection law requires.
14.4 You confirm that you have a lawful basis for sharing any personal data with us.
15. Third-party services
15.1 Our work relies on services run by others, such as distribution networks, search engines, AI tools, payment providers, hosting providers and website platforms. We are not responsible for their decisions, outages, security incidents or changes to their rules, but we will help you work around them where we reasonably can.
16. Liability
16.1 Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
16.2 Neither of us is liable for loss of profit, revenue, business, goodwill or data, or for any indirect or consequential loss.
16.3 Our total liability arising from a project is limited to the fees you have paid for that project. For search plans and other ongoing services, it is limited to the fees paid in the 12 months before the claim.
16.4 You will compensate us for losses, costs and claims arising from content or materials you supply or approve that are inaccurate or unlawful, or that infringe someone else's rights.
17. Cancellation and ending the contract
17.1 Either of us may end a project by written notice.
17.2 If you end a project, you pay for the work done up to that date, in proportion to the agreed fees. Deposits cover the time we reserve for your project and are not refundable once work has started.
17.3 If you cancel paid PR before distribution, we will refund the fee less any writing already completed. Once distribution has happened, the fee is not refundable.
17.4 Maintenance plans continue until either of us gives 30 days' written notice. Search plans end as set out in section 19. Work in any notice period is delivered and paid for as normal.
17.5 Either of us may end the contract immediately if the other seriously breaches it and does not put it right within 14 days of being asked, or becomes insolvent.
17.6 When a plan or project ends, we will hand over anything we have created that you have paid for, and remove our access to your accounts when you ask (you can also remove it yourself). Links, coverage and releases already published stay where they are, as clause 7.6 explains.
17.7 Clauses 5, 6, 10, 11, 13, 14 and 16 continue after the contract ends.
18. General
18.1 Neither of us is responsible for delays caused by events outside our reasonable control.
18.2 We work as an independent business. Nothing in the contract creates a partnership, joint venture or employment.
18.3 Neither of us may transfer the contract without the other's consent, except that we may transfer it to a company that takes over our business.
18.4 Notices may be sent by email: to us at hello@trivas.media, and to you at the address in the proposal or the one you used at checkout.
18.5 If any part of these terms is found unenforceable, the rest continues to apply.
18.6 No one else has rights under the contract under the Contracts (Rights of Third Parties) Act 1999.
18.7 We may update these terms from time to time. The version in force when your contract was made applies to it.
18.8 These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
19. Search plans and the Search Blueprint
19.1 This section applies to our monthly search plans (Foundation, Growth, Authority and Bespoke) and to the Search Blueprint. If it conflicts with any other section, this section applies.
19.2 The deliverables for each plan are those listed on our pricing page when you sign up, or in your proposal for a Bespoke plan. We agree the details, such as which pages, keywords and questions to work on, with you in the first month and at each quarterly review.
19.3 Monthly billing: you pay each month in advance. The minimum term is three months from your start date. After that the plan continues month to month until either of us gives 30 days' notice in writing, including by email.
19.4 Annual billing: you pay for 12 months in advance, at the discount shown on our pricing page. The plan renews for a further 12 months at the end of each year unless either of us gives notice in writing at least 30 days before the renewal date. You can ask to move to monthly billing at renewal. Annual fees are not refundable, except under clause 19.8 or if we end the plan other than under clause 17.5.
19.5 Your price is fixed for 12 months from your start date. After that we may change it once a year, with at least 60 days' notice.
19.6 We are not currently registered for VAT. If we register, we will add VAT to fees for UK clients from the date of registration, after giving you notice.
19.7 If we can't complete a deliverable because we are waiting for access, information or approval from you, we will carry it over to the following month where we reasonably can. This does not change your fees.
19.8 Our guarantee: if we miss a deliverable listed in your plan in a month for reasons within our control, we will deliver it the following month or, if you prefer, refund the part of that month's fee that relates to it.
19.9 You can move to a higher plan from the start of any month, and to a lower plan once the minimum term has ended.
19.10 The Search Blueprint is a one-off service, paid in advance. If you start a plan within 30 days of paying for it, the Blueprint counts as your first month's work and we take its fee off your first plan payment.
19.11 Your plan starts on the date of your first payment. We will contact you within one working day to arrange a kick-off call, and the Search Blueprint begins once we have the access we need.
19.12 When you pay through our online checkout, the contract is made when your payment is confirmed. Payments are taken by Stripe. To change or cancel a plan, email hello@trivas.media. Charity pricing is for registered charities only. We check the charity number you give us against the relevant public register after you pay. If we can't confirm it, we'll offer you the standard price for your plan or a full refund.
19.13 The number of spaces shown on our pricing page is the number of new clients we can take on each plan at that time. If a plan becomes full before your payment is confirmed, we will offer you a start date or a full refund.
